A. Program Overview

SRI Labs' Brand Ambassador Program is an invitation-based, performance-driven program that allows approved participants to earn commissions and exclusive benefits by promoting SRI Labs products through personal channels.

SRI Labs retains sole and exclusive discretion over the approval, acceptance, and/or rejection of all applications to the Program. Acceptance into the Program does not constitute employment, partnership, or any agency relationship with SRI Labs.

Ambassadors will be onboarded to the Program via Social Snowball or Growi and added to the SRI Labs private Discord community upon approval.

B. Ambassador Link and Commission Structure

Unique Ambassador Link

Upon acceptance, SRI Labs will provide you with a unique Ambassador Link (the "Link"). You are only permitted to apply for and use ONE Ambassador Link. Applications for more than one Link per person are grounds for immediate termination and forfeiture of all unpaid commissions.

If you wish to deactivate your Link for any reason, contact ambassadors@srilabs.com.

Commission Tiers

"Gross Revenue" means the amount actually paid by a customer, excluding shipping, taxes, or other ancillary charges.

Cookie Tracking

Your Ambassador Link uses a 60-day tracking cookie on a first-click attribution model. Commissions are credited for qualifying purchases made within 60 days of a customer's first click on your Link.

Payout

Commissions are paid on a Net 60 basis. SRI Labs reserves the right to modify its payment policies at any time with reasonable advance notice. You acknowledge that the Commission constitutes your sole compensation and that you have no entitlement to any other consideration, cash, or equity.

Sample Credit

Ambassadors who achieve $1,000 in tracked sales are eligible for a refundable product sample credit, subject to SRI Labs' then-current sample program policies.

C. Ambassador Benefits

Upon acceptance and in good standing, Ambassadors receive the following benefits:

• 50% discount on SRI Labs products (base tier)
• Welcome kit: full-size tool and curated product regimen
• VIP invitations to exclusive SRI Labs events and experiences
• Invitations to quarterly city meetups (Los Angeles, New York City, Miami)
• Annual Ambassador Summit - flights and hotel covered for top 50 Ambassadors
• Early access to new products two (2) weeks before public launch
• Access to the private Ambassador Discord community, including founder AMAs
• Co-branded storefront at team.srilabs.com
• VIP updates on product roadmap and events
• Content creation earnings: 100 posted qualifying videos = $300-$400 bonus

Benefits are subject to change at SRI Labs' sole discretion. Benefits are non-transferable and have no cash value unless otherwise stated.

D. Bonus Programs

SRI Labs offers the following performance-based bonuses to qualifying Ambassadors:

• Sales Tier-Up Bonus: Commission rate increases from 15% to 20% upon reaching $3,000 in sales within a calendar month or on an all-time basis.
• Ambassador of the Quarter: Top-performing Ambassador each calendar quarter receives a $1,000 bonus.

Bonus eligibility is determined by SRI Labs in its sole discretion. Bonuses are subject to applicable tax withholding. SRI Labs reserves the right to modify or discontinue any bonus program at any time.

E. Ambassador Obligations and Content Requirements

Minimum Content

Ambassadors are required to produce a minimum of one (1) original, on-brand piece of content per calendar quarter. SRI Labs may provide content guidelines, themes, or direction via Discord or other official channels. Ambassadors are expected to monitor and adhere to such guidance.

FTC Disclosure

Ambassadors must include a clear and conspicuous FTC-compliant disclosure on every post that is paid, gifted, or otherwise compensated. This requirement is non-negotiable. Failure to disclose as required by law may result in immediate termination of the Agreement.

Soft Exclusivity

While participating in the Program, Ambassadors agree not to enter into promotional partnerships with direct competitor brands in the skincare tool and device category without prior written approval from SRI Labs.

Platform Participation

Ambassadors are required to join the official SRI Labs Discord community upon acceptance. You are obligated to monitor all guidance and updates published therein. Ambassadors shall be presumed familiar with such materials whether or not they are actively accessed.

Performance Review

Ambassadors are subject to a quarterly performance review to confirm tier status and continued participation in the Program. SRI Labs reserves the right to adjust tier status or terminate participation based on the outcome of such reviews.

F. Permitted Uses of Your Ambassador Link

You may share your Ambassador Link through your personal social media profiles, stories, reels, videos, and direct messages on platforms where you are an organic participant. Guidance on current permitted uses is published in the SRI Labs Discord and Social Snowball portal.

G. Prohibited Uses of Your Ambassador Link

The following uses of your Ambassador Link are strictly prohibited:

• DO NOT reuse SRI Labs' or another Ambassador's original content for your own promotional purposes.
• DO NOT share your Ambassador Link on public deal sites, coupon aggregators, Reddit, or any public web forum.
• DO NOT bid on SRI Labs brand terms through any paid online advertising platform (e.g., Google Ads, Meta Ads).
• DO NOT promote your Ambassador Link on SRI Labs' corporate social media profiles or on other Ambassadors' posts.
• DO NOT use inappropriate language, make unsubstantiated health claims, or reference controversial topics when promoting SRI Labs products.
• DO NOT contact SRI Labs employees or representatives via their personal social media accounts.
• DO NOT inquire to SRI Labs moderators about individual order details, as moderators do not have access to order information.
• DO NOT disparage SRI Labs, its products, employees, or business practices (see Section J).

H. Content and Intellectual Property

License to SRI Labs

By posting content that references or promotes SRI Labs, you grant SRI Labs a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, publish, and distribute such content for advertising, marketing, and promotional purposes across all channels, including paid media. You waive any right to additional compensation for such use.

SRI Labs IP

You may not use SRI Labs' trademarks, logos, product images, or brand assets in any manner inconsistent with SRI Labs' brand guidelines or without prior written approval. Unauthorized use of SRI Labs IP is grounds for immediate termination.

Your IP

You represent that all content you create and publish in connection with the Program is original to you, does not infringe any third-party rights, and complies with all applicable laws and platform policies.

I. Representations and Warranties

By participating in the Program, you represent and warrant that:

• You are eighteen (18) years of age or older;
• You have the legal right and authority to enter into this Agreement;
• Your participation will not violate any applicable law or regulation, or breach any agreement with a third party;
• You will not infringe or misappropriate the intellectual property or privacy rights of any third party;
• Content you produce in connection with the Program will not be abusive, harassing, defamatory, pornographic, obscene, hateful, or otherwise objectionable or false; and
• You will comply with all applicable FTC guidelines and platform disclosure requirements.

J. Confidentiality and Proprietary Information

During and after your participation in the Program, you agree to hold in confidence and not disclose, use, or publish any Proprietary Information of SRI Labs without prior written authorization.

"Proprietary Information" includes, but is not limited to, non-public product development plans, marketing strategies, pricing, ambassador program data, and any information designated as confidential. Proprietary Information excludes information that is publicly known, independently developed by you, or provided by a third party without restriction.

K. Non-Disparagement

You agree that you will not, at any time during or after your participation in the Program, orally or in writing criticize, disparage, or make negative statements about SRI Labs, its products, employees, or business practices in any public or semi-public forum, including social media.

L. Term and Termination

This Agreement is effective upon your acceptance into the Program and continues until terminated. SRI Labs may terminate or modify this Agreement, or your participation in the Program, at any time and for any reason, with or without notice.

Upon termination, SRI Labs will issue a final commission report and pay any earned commissions in accordance with its then-applicable payment policies. Commissions forfeited due to violations of these Terms will not be paid.

Sections H, I, J, K, M, and N shall survive termination of this Agreement.

M. Indemnification

You agree to indemnify, defend, and hold harmless SRI Labs and its affiliates, officers, directors, employees, agents, and representatives from and against any claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or relating to: (a) your breach of these Terms; (b) your content or promotional activities; or (c) your negligence or misconduct in connection with the Program.

N. Miscellaneous

Independent Contractor

You are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship. You are solely responsible for all taxes on compensation received under this Agreement.

No Publicity

You may not issue a press release, news announcement, or otherwise publicize your association with SRI Labs without prior written approval.

Assignment

You may not assign your rights or obligations under this Agreement without SRI Labs' prior written consent. SRI Labs may assign its rights to an affiliate or in connection with a merger, acquisition, or sale of assets.

Arbitration

Any dispute arising from or relating to this Agreement shall be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. Arbitration shall take place in [City, State]. Each party shall bear its own costs and attorney's fees.

Governing Law

This Agreement is governed by the laws of the State of [State], without regard to conflict-of-law principles.

Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver

Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of the right to enforce it in the future.

Entire Agreement

This Agreement constitutes the entire agreement between you and SRI Labs regarding the Program and supersedes all prior discussions and agreements relating to the same.

O. Acknowledgment and Agreement

By applying to and participating in the SRI Labs Brand Ambassador Program, you acknowledge that:

• You have carefully read and fully understand all provisions of these Terms;
• You knowingly and voluntarily agree to all conditions, expectations, and obligations set forth herein;
• You have been advised to review these Terms and, if desired, to consult with legal counsel; and
• You agree to be legally bound by these Terms.
